A well-funded start up has partnered with Harris Legal Search to find a VP, Legal.  This is a fast-paced company with big goals seeking a VP, Legal to own all legal matters.  This is a great opportunity to roll up your sleeves and immerse yourself in high-growth start-up environment.

PRIMARY RESPONSIBILITIES

  • Provide leadership and guidance on a full range of legal issues, regulatory compliance, contracts, litigation, insurance and risk management, intellectual property, governance, and general corporate matters.
  • Manage all legal business matters, including outside counsel.
  • Provide strategic legal guidance to executive team on legal matters and ensure appropriate risk management.
  • Acquisitions:  manage and draft legal agreements, including legal diligence.
  • Bank Management:  manage bank relationships including bank amendments (primarily related to acquisitions) and facilitate covenant compliance.
  • Financing: advise on legal aspects of financing, including assessing and advising on current and future business structures and legal entities’ coordination of disclosure schedules, and preparation of exhibits.
  • Corporate governance: represent as counsel during board meetings, and prepare resolutions, consents, and minutes.

EXPERIENCE AND QUALIFICATIONS

  • Minimum 8 years of legal experience.  Mix of law firm and in-house experience is a plus.
  • Licensed to practice in the State of Washington, or eligible for Motion by Admission.
  • Experience with mergers and acquisitions.
  • Expert negotiation skills.
  • Sound judgment in ambiguous situations.
  • Excellent verbal and written communication, interpersonal, and presentation skills.
  • Experience working in fast-paced, high-volume transactional environment.
  • History of teamwork and willingness to roll up sleeves to get job done.
  • Able to prioritize appropriately, and multi-task.
  • Ability to collaborate with cross-functional team to achieve business goals.
  • Discreet and able to maintain confidentiality.
