PotlatchDeltic Corporation (“Potlatch”) has exclusively engaged Harris Legal Search to recruit a General Counsel. This position will be based in Spokane, Washington.
The General Counsel & Corporate Secretary will report directly to the Chief Executive Officer, and will be charged with oversight of the company’s legal matters, corporate governance, and compliance. The General Counsel & Corporate Secretary must possess the legal and business acumen and personal leadership traits to serve as a trusted adviser to the CEO, the Company’s Executive Team, and Board of Directors, and to communicate on behalf of the Company with outside counsel, shareholders, customers, vendors, and government agencies. The General Counsel & Corporate Secretary is a key member of the company’s management committee and will provide active support and input into the Company’s short and long-term strategies.
Serve as the primary legal advisor and partner to the CEO, Executive Team, and Board of Directors, while working within the larger corporate management team.
Support the CEO, Executive Team, and Board of Directors in the development and execution of long-term strategies.
Provide legal support for, and manage, the full range of company transactions, including real estate transactions, M&A, debt financings, securities issuance, and contracts.
Provide legal support for external reporting, including investor calls, press releases, and SEC filings, and manage proxy, registration statement, 8-K, and Form 4 filings.
Provide legal support for environmental matters, employment and labor law matters, and manage litigation.
Oversee and evaluate the effectiveness of outside legal services to ensure the Company is receiving good value.
Periodic travel (up to 20%).
Serve as the primary advisor to the CEO, the Executive Team, and the Board of Directors on corporate governance matters.
Provide support to the Board of Directors and its various committees by developing with the CEO, Executive Team, and the Board, board and committee agendas and board materials for board meetings.
Working with the Board Nominating Committee and the Committee’s compensation consultant, oversee director compensation, and reporting.
Manage shareholder services and Nasdaq communications.
Serve as the primary adviser and partner to the CEO, Executive Team, Board of Directors, Departments, and Divisions on compliance matters.
Provide legal support for, and manage, development and implementation of company compliance policies.
Provide training to the CEO, Executive Team, Board of Directors, Departments and Divisions on compliance and ethics matters, including antitrust, corporate conduct and ethics, insider trading, document retention, and similar matters.
Manage the whistle-blower hotline.
Provide legal support for, and manage, internal investigations.
15 to 20 years of legal practice, some of which as a general counsel or associate general counsel of a public company or a partner at a law firm with significant experience advising boards of directors on securities law and corporate governance matters, and M&A and real estate transactions.
Up-to-date knowledge of regulatory requirements for a publicly traded company.
A bias for action and results; an energetic, resourceful, hands-on executive who operates effectively in a lean environment.
Ability to anticipate issues and problems and to prepare for them.
A strong bottom-line business orientation with good business instincts and the confidence and credibility to work well with line operating management in an organization with multiple business lines and operating units and to oversee and challenge outside counsel.
A reputation for credibility with CEOs, boards of directors, and outside counsel.
The presence and executive level legal leadership to work effectively with the senior management team and the Board of Directors, and to serve as the most senior legal advisor and resource within the organization.
Ability to be effective in forging strong personal alliances at all levels and across all functions within the organization.
A nimble executive who has a proven track record of leading an organization through significant change/growth.
