Portland based company seeks to hire a Vice President, General Counsel to support a wide range of corporate matters, including corporate governance and complex transactions.

The Vice President, General Counsel will handle a wide range of corporate matters, including corporate governance and complex transactions spanning the breadth of our client company’s development projects, assets and planning, corporate structures as well as future strategic design for this family -owned enterprise. The successful candidate will provide expert and strategic legal advice to management, will oversee legal compliance protocols, and will provide legal advice and guidance on the establishment and maintenance of internal governance policies and procedures.  The position reports to the President.


  • Partner as a key senior member of management, working directly with the executive team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations.
  • Consult with senior management in the presentation of strategic initiatives to the executive team and implementing such initiatives as adopted by the company.
  • Oversight and leadership of the day-to-day operations of legal representation of the Company; managing, evaluating and guiding a 4-person team comprised of 3 dedicated in-house attorneys as well as an experienced administrative staff.
  • Provide advice on developing, implementing and managing a strategic plan for the provision of legal services, in accordance with and in support of, business objectives to include the selection and management of outside counsel.
  • Negotiate, draft and implement a wide variety of complex, multi-party agreements, including real estate development, joint venture, financing and acquisition and disposition documents.
  • Advise the company on litigation and other legal risks of possible business decisions, providing preventive counseling associated with standard business practices and specific business transactions. Developing strategies with both inside and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements, where appropriate), and cost-effectively managing the resources required to address such matters.
  • Monitor the current legal landscape to continually update the company on pending legal cases and proposed legislation as applicable to the real.
  • Participate as part of a special strategic initiative to restructure the corporate organization to enhance the operations through future generations. Emphasis and focus will be from both the ownership and day-to-day management standpoint.
  • In-depth knowledge of and familiarity with a variety of private entity structures especially limited liability companies and corporate structures.
  • Significant real estate transactional experience over a wide range of real estate related projects including, without limitation, development, acquisition, disposition, leasing, construction, entitlement, and financing.
  • Knowledgeable on the legal impacts surrounding equity raising and joint venture ownership structures.

Experience, training, skills required

  • Comprehensive skill and experience in drafting complex real estate contracts and agreements.
  • Experience with compliance-related issues and demonstrated ability to work with regulations impacting real estate and real estate development (and with regulators that administer such regulations).
  • Significant knowledge and experience with the entitlement and development process for multi-family, retail, office and industrial real estate projects.
  • The ability to develop and implement strategy, in partnership with outside counsel as appropriate, to effectively address complex litigation and regulatory inquiries.
  • Excellent interpersonal skills and the ability to communicate and interact effectively at all levels of the organization; requiring judgment and self-confidence but also respect for others, regardless of position, and the willingness to work as a team member.
  • Personal credibility and the ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by management and personnel at all levels.
  • Strong negotiation, communication, organizational, and people management skills and the ability to influence and build relationships collaboratively, without direct authority.


  • At least 12-15+ years of legal experience gained through a combination of major law firm experience and in-house experience as a general counsel or senior managing in-house counsel preferred.
  • Degree of Juris Doctorate from an accredited law school.
  • Real Estate industry background and experience required.
