A global enterprise software company has exclusively engaged Harris Legal Search to recruit an experienced Senior Counsel, Corporate to be responsible for all aspects of capital markets compliance and activity, corporate governance, acquisitions and global subsidiary maintenance, and other evolving corporate and compliance-related responsibilities depending on the hire’s interests and the business’ needs.  This hire will report directly to the General Counsel with a meaningful leadership role executing critical corporate initiatives.

RESPONSIBILITIES

  • Prepare for and manage compliance with federal securities laws and listing exchange rules and regulations, including preparation and filing of relevant SEC reporting.
  • Support General Counsel on Board matters, including setting agendas for the Board and various committees, coordination, preparation and distribution of resolutions, consents, minutes, and other materials.
  • Assist with marketing and investor matters, including review of announcements, press releases, investor presentations, and other investor communications.
  • Stay current on corporate governance trends and best practices and SEC and listing exchange developments, including research or benchmarking projects.
  • Manage legal aspects of corporate development initiatives, including any acquisitions.
  • Assist with subsidiary maintenance for all domestic and international subsidiaries.
  • Partner with the company equity compensation team on all matters related to formation and compliance of equity comp programs.
  • Lead the legal team’s efforts in conducting periodic employee trainings on matters related to compliance and securities law, including insider trading, related party transactions, and Regulation FD.
  • Effectively manage outside counsel as needed.

QUALIFICATIONS

  • 8+ years of experience working at both a law firm counseling high-growth technology companies on SEC and corporate governance matters, and working in-house at a U.S. publicly-traded technology company.
  • In-depth knowledge of U.S. securities law.
  • Significant experience advising companies on public company reporting and compliance matters, and corporate governance matters.
  • Ability to partner with stakeholders to provide clear, actionable, and practical advice.
  • Track record of taking initiative, working well across an organization, and having the ability to work independently, handle multiple projects with competing deadlines, and able to thrive in ambiguity.
  • Great communicator who is comfortable liaising with multiple teams to solve problems and promptly answer questions.
  • Collaborative and solutions-oriented.
