Harris Legal Search has been hired by a multi-billion dollar global retailer with warehouse clubs to recruit a securities attorney to join the Legal Department based outside of Seattle.  The position will also be responsible for advice on sustainability matters.

The successful candidate will be primarily responsible for supporting the General Counsel in handling securities law and corporate governance matters; advice and compliance related to extended producer responsibility (EPR) obligations on the company for the treatment and disposal of certain consumer products; and supporting the company’s environmental, social, and corporate governance (ESG) and sustainability efforts, including domestic and foreign filings concerning non-financial metrics. This attorney will supervise outside counsel and other advisors on corporate securities and sustainability matters. The candidate must be comfortable operating in a team environment with confidence in their judgments and demonstrate an ability to communicate with senior management in a concise and effective way.

This position is an “in the office” (not remote work) position. 


Securities Law and Corporate Governance – Among other items, the Corporate Counsel will assist with securities law reporting and compliance, including periodic reports, current reports, and registration statements and preparation and filing of the company’s annual proxy statement; capital markets activities; and state, federal and certain foreign regulatory matters related to financing and governance.

  • Assist the General Counsel with corporate governance matters, including: preparing and reviewing Board communications, Board and Board committee materials and minutes; supporting the company’s annual shareholders’ meeting, including through proxy statement preparation and research; and related corporate governance research, advocacy, and outreach.
  • Advise business teams on public disclosures, external communications, and other public company obligations.
  • Implement and oversee policies and procedures relating to securities law compliance and disclosure matters and compliance with Nasdaq-listing rules.
  • Collaborate with Investor Relations and Financial Planning teams on presentations, strategy, and shareholder engagement activities.
  • Assist administering aspects of director and officer compensation programs.

EPR – Advise on compliance with expanding EPR laws governing the management of used and end-of-life electronic equipment, batteries, medical devices, unwanted pharmaceuticals, and plastic packaging and waste in the U.S. and in other countries.  Help establish and launch regional and global product take-back programs.

ESG / Sustainability – Help develop, refine, and effectuate global strategies for ESG reporting and sustainability initiatives, including providing strategic input and legal advice on sustainability policy, due diligence, governance, and reporting issues.  Develop and improve internal policies, procedures, and capabilities on ESG and sustainability matters, including as necessary to meet third-party assurance and verification requirements.

  • For all substantive areas of responsibility, track and interpret existing and emerging regulations; advise on regulatory changes and enforcement trends; and collaborate with outside counsel, consultants, and cross-functional stakeholders (including Finance, Investor Relations, and Global Sustainability team).
  • Perform special projects and such other functions as directed.
  • Monitor, manage, and review work and expenditures.


  • J.D. degree from an accredited law school.
  • Admission in good standing to practice law in at least one U.S. state, and eligible to practice as in-house counsel in the State of Washington.
  • At least ten years of securities and corporate governance law experience acquired in a law firm, with some in-house experience preferred.
  • Understanding of and experience in ESG (including SASB, IFRS, SBTi, TCFD and SDG standards), EPR, and sustainability regulations preferred but not essential.
  • Excellent business judgment and ability to assess legal risk while also thinking strategically and providing practical, business-oriented advice.
  • Demonstrated ability to independently manage a diverse and complex workload while maintaining priorities and proactively anticipating issues.
  • Exceptional communication, drafting, and analytical skills for working with lawyers and non-lawyers.
  • Experience overseeing outside counsel.
  • Ability to work both autonomously and collaboratively.
  • Strong execution and project management skills and ability to develop consensus among stakeholders from across the organization.
