Our client, an AmLaw 100 firm with an excellent M&A practice, seeks a Corporate Associate for a permanent, salaried position with benefits, flexible hours and deadlines, and no billable hour requirement.

This is a perfect opportunity for a corporate attorney looking to work at an AmLaw 100 firm and enjoy more flexibility than a traditional partner-track position.  They are looking for imaginative and hard-working people with diverse backgrounds, experiences, and ideas. 

Responsibilities include forming entities, drafting corporate resolutions and meeting minutes, State qualifications to do business, compliance with State business license requirements, BE-13 filings with the US Commerce Department, good standings and annual corporate maintenance, supporting corporate transactions and filings, assisting with due diligence and compliance efforts, maintaining records for clients and partners, performing legal research, and providing other junior-level support to M&A team members in the firm’s New York and other offices.  The attorney will also sometimes draft, review, and revise transaction and ancillary agreements and legal summaries.

Candidates must have at least one year of relevant experience, have strong academic credentials, excellent interpersonal and communication skills, strong attention to detail and organizational skills, and the ability to take ownership of discrete projects and work without direct supervision.  Active member of the NY or CA bar in good standing, or other states in which our client has an office to be considered.  Big Law experience preferred, but not required.
