Our client, a global enterprise software company, has exclusively engaged Harris Legal Search to recruit an experienced Corporate Counsel to be responsible for technology transactions and contracts, including SaaS agreements.

This position reports to the U.S. Senior Legal Counsel and can be based in the Seattle-area headquarters, or remotely anywhere in the U.S.  The attorney may be expected to work during East Coast office hours.


  • Negotiate and draft various commercial agreements including SaaS agreements, data processing agreements, professional services agreements, assignments, and amendments.
  • Provide proactive strategic advice regarding business and legal issues.
  • Assist in training the Icertis North America sales team.
  • Assist with implementing legal efficiencies to improve contract processes and operations.
  • Help create and improve contract templates and negotiation playbooks.
  • Help maintain internal contract intelligence platform.
  • Own the operational elements of the legal function, including collaborating cross-functionally with the company’s sales operations, finance, and product teams.


  • 3 – 8 years of experience reviewing, drafting and negotiating legal agreement for a leading software company, or as a law firm attorney focused on SaaS Software contracting.
  • Specific experience with SaaS, cloud computing, and enterprise software.
  • D. from a recognized U.S. law school, licensed to practice in the U.S., and eligible for in-house practice in your state of residence.
  • Excellent contract negotiation and drafting skills, comfortable and adept at teaming with sales leadership in fast-moving customer-facing transactions.
  • General understanding of data privacy regulations, including GDPR.
  • Attention to detail, willingness to roll up your sleeves to get into the details and drive creative solutions.
  • Ability to think quickly to drive an efficient deal flow.
  • Love of reviewing contracts.
  • Self-motivated.
  • Outstanding people skills, including ability to build and manage important relationships while working with fast-paced and demanding client base.
  • Capability to manage transaction-intensive environment, appropriately prioritizing and weighing goals, speed, and risk.
  • Ability to respond effectively to surprises and challenges with poise and confidence.
  • Interest in working in an international and culturally-diverse working environment of a high-growth software company with flexible working hours.
  • Enjoyment of collaborative teamwork environment.
  • Sense of humor.
