Our client, a Fortune 500 service based company headquartered in Seattle, is seeking an experienced real estate attorney to support its global leasing practice, real estate strategies, and procurement initiatives.

As a Sr. Corporate Counsel for Real Estate, this attorney will assist new retail business teams to secure and launch real estate facilities and provide day-to-day business and real estate counseling.  S/he will structure, draft and negotiate agreements, manage outside counsel, and advise the client on:

  • Sourcing operations for various facilities, including numerous leasing agreements (particularly retail with a grocery/perishables/QSR focus), land use and zoning issues.
  • Construction agreements.
  • Use restrictions.
  • Procurement contracts.
  • Other commercial transactions from the standard to the highly complex.

The successful candidate will also identify process improvements and administer and resolve legal issues that arise in commercial relationships within real estate portfolios.

BASIC QUALIFICATIONS

  • 12+ years of legal experience (at least three years at a top law firm) as a real estate attorney with significant retail leasing experience.
  • Juris Doctor and membership in good standing in at least one state bar.
  • Ability to work independently while being able to contribute successfully to cross-functional teams.

PREFERRED QUALIFICATIONS

  • In-house experience.
  • Significant tenant-side experience with a variety of retail businesses.
  • Significant experience working with construction and utility issues.

Milliman, a global provider of actuarial and related products and services, has exclusively engaged Harris Legal Search to recruit an Associate Counsel to be based at the company’s headquarters in downtown Seattle.  The position reports to the Senior Managing Counsel.

Milliman’s legal department is seeking a commercial attorney with experience drafting and reviewing complex commercial agreements.  The candidate will provide general legal support to business units both domestically and internationally.

PRIMARY RESPONSIBILITIES

  • Review, draft, and negotiate a wide variety of contracts with clients and vendors, including professional and consulting services, software licensing, confidentiality, and various other business transactions;
  • Assist with regulatory compliance and reporting, and corporate governance matters;
  • Provide legal advice and support related to corporate risk management and RFP assistance;
  • Research various issues affecting the company’s business.

QUALIFICATIONS

  • JD and membership in the Washington State Bar Association.
  • Minimum of four years’ transactional legal experience in either a law firm or in house setting.
  • Experience in contracts and general corporate matters.
  • Clients service focus and the ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage many projects in a fast-paced environment.
  • Excellent verbal and written communication skills.
  • Ability to work independently.
  • Experience in regulatory compliance, corporate governance, software licensing, employment law, and intellectual property a plus.

Our client seeks an exceptional commercial attorney for a Corporate Counsel position within its Business and Technology legal team in Greater Seattle.  This position will work directly with the business and development teams to advise on, structure, draft, and negotiate deals in support of new and ongoing business initiatives. 

Primary responsibilities include:

  • Structuring, drafting, and negotiating a broad range of agreements, including technology development, licensing, marketing, and services agreements.
  • Supporting sales and marketing teams in the areas of antitrust, celebrity endorsements, talent agreements, consumer events, social media, promotions, user generated content, and privacy.
  • Providing on-going practical legal advice on a wide range of topics, including regulatory, compliance, and intellectual property matters.
  • Coordinating with Asian and European legal teams to guide global product development.

  • Developing and implementing guidelines and policies and providing training to the business on compliance related matters.

Basic qualifications include outstanding academic credentials, a law degree, membership in at least one state bar association, 4 – 6 years of commercial legal experience, excellent drafting and communication skills, and exceptional judgment and pragmatism. Preferred qualifications include at least two years of experience in an in-house legal department and a strong technology background. Must be willing to travel and work extended hours when necessary.

Symetra, a dynamic and growing financial services company, has exclusively engaged Harris Legal Search to recruit an investment attorney to be based at the company’s headquarters in downtown Bellevue, WA (ten miles east of Seattle). The position reports to the VP, Associate General Counsel.

Symetra seeks an attorney to assist in supporting the company's investment management department, including derivatives products.  The ideal candidate will have in-depth knowledge of pertinent laws, including federal securities laws, Dodd-Frank, and EMIR.

PRIMARY RESPONSIBILITIES

  • Responsible for interaction with internal clients and external parties on various legal issues involving the company's investment portfolios, including trade and position management, compliance, and regulatory reporting.
  • Provide legal advice regarding Dodd-Frank derivatives regulatory compliance, and International Swaps and Derivatives Association (ISDA) management.
  • Draft and review ISDA agreements, and agreements with investment managers, broker-dealers, and vendors of other investment services.
  • Review offering memoranda, subscription documents, and proposed contracts relating to private investments, including drafting of transaction documents.
  • Develop trading and back-office policies and procedures, and monitor compliance with same.
  • Monitor proposed state and federal legislation and regulations relating to areas of responsibility.
  • Assist senior attorneys on a variety of legal matters affecting the company.

QUALIFICATIONS

  • Three or more years of legal experience, including law firm experience.
  • At least three years’ experience representing institutional asset management clients.
  • In-depth knowledge of applicable laws, including federal securities laws, Dodd-Frank, and European regulations such as EMIR.
  • Knowledge of insurance law and commercial mortgage law desirable.
  • Experience advising life insurance company clients a plus.
  • Excellent analytic, technical, and problem solving skills.

Our client, a well-known Seattle law firm, seeks an Intellectual Property Litigation Associate with a minimum of two years of experience.  The successful candidate will have law firm experience in trademark and patent law in federal courts and tribunals in the United States.  PTO bar admission is preferred but not required.  Relocations from outside Seattle are welcome.
